Arch Capital’s Voussoir Re sidecar issues 10,760 Series 2026-9 preferred shares

Arch Capital, the Bermuda headquartered insurance and reinsurance specialist, continues to utilise its Voussoir Re Ltd. collateralized reinsurance sidecar and special purpose insurance (SPI) vehicle to help third-party investors access the returns of its underwriting, with a new preferred share issuance from the structure in 2026.

arch-capital-logoArch Capital established the Voussoir Re Ltd. platform in Bermuda in 2019, since when it has been a regularly used feature of its third-party capital activities.

The special purpose insurer (SPI) and segregated accounts vehicle has been used as a quota share sidecar, as well as for collateralized reinsurance arrangements and the issuance of insurance-linked notes to investors.

Voussoir Re’s role within Arch’s third-party capital activities has evolved over time, from a straight quota share reinsurance sidecar platform, to more of a conduit connecting investors and risk in a number of formats, including as a way to more easily channel risk opportunities into fund-like strategies.

The Voussoir Re sidecar vehicle has become a key third-party capital structure, with a number of share issuances each year that get listed on the Bermuda Stock Exchange (BSX), as well as private arrangements for investors that are less visible.

In addition, recently we reported on the fact investment manager Eaton Vance, part of Morgan Stanley Investment Management, had allocated to a reinsurance sidecar strategy, for its mutual funds, through the Voussoir Re structure earlier this year.

The last preferred share issuance from Voussoir Re came in April, when 1,000 Series 2026-3 preferred shares were issued by the vehicle.

Now, the Voussoir Re sidecar SPI has issued another series of preferred shares, which will presumably be used as investment instruments to enable third-party capital providers to allocate to certain reinsurance business underwritten by Arch Capital and likely its Arch Re reinsurance arm.

Voussoir Re Ltd. has issued 10,760 Series 2026-9 non-voting and redeemable preferred shares, using a segregated account Voussoir Re 2026-9, with each of the shares having a nominal par value of $0.01.

The 10,760 Series 2026-9 preferred shares have been listed on the Bermuda Stock Exchange (BSX) as insurance-linked securities, with Artex Corporate Services (Bermuda) Ltd. acting as the listing sponsor.

The 10,760 Series 2026-9 preferred shares issued by Voussoir Re Ltd. have been privately placed with qualified investors.

It’s another demonstration of the meaningful third-party capital activities undertaken at Arch Capital Group out of its Bermuda reinsurance arm Arch Re.

As we reported recently, Arch Capital reported a 27% reduction in net property catastrophe reinsurance premiums for the first-half of 2026, while its senior executives noted higher cessions to reinsurance (likely retro) and third-party capital providers.

Arch continues to play an important role as a partner and facilitator for investors looking to benefit from access to the returns of its underwriting in a direct manner, through insurance-linked securities structures, with Voussoir Re remaining a core component of the platform.
